Practice focuses on M&A and capital markets matters, including strategic review processes, hostile and friendly take-over bids, proxy battles, private equity investments and cross-border financings. Has advised on more than 200 high-profile capital markets transactions, including the strategic review process in 2013 for BlackBerry including the related US$1.25-billion financing. Acts as lead advisor to Fairfax Financial on their M&A mandates, going private transactions, strategic investments and capital markets transactions, which include over $7.0 billion of debt/equity financing transactions. Led the Goldman Sachs sale of Alliance Films to eONE and also led the first cross-border bond offering by a First Nation enterprise in Canada (2014). Also advised Cognos on its strategic review process leading to the US$5-billion sale to IBM. Regularly advises companies on corporate governance and securities compliance matters, and acts as counsel to special committees of boards of directors. Has lectured at conferences and law schools, and published articles on stockholder activism, poison pills, cross-border debt offerings, the multi-jurisdictional disclosure system, corporate governance and shareholder arrangements.
