AT&T/ BT/ Rogers

In a related transaction, AT&T and British Telecommunications plc. jointly acquired a 33% equity interest in Rogers Cantel for approximately $1. 4 bn. AT&T was represented by Fasken Campbell Godfrey whose team was led by Barbara Miller and George Glover. Team members included Douglas Cannon (tax), Lynne Golding (transaction documents and due diligence), Roxanne McCormick (securities), Samuel Rickett (litigation-arrangement proceedings), Anthony Baldanza and Angela Di Padova (competion law), Colleen Spring Zimmerman (intellectual property) and Anil Aggarwal (securities). BT was represented by Goodman Phillips & Vineberg whose team included Stephen Halperin, Celia Rhea and Francesca Guolo (corporate), Neil Harris (tax); and Tracey Pearce and Michael Koch (broadcasting and telecommunications). Rogers was represented by Tory Tory DesLauriers & Binnington whose team included James Turner, John McIninch, Carolyn Naiman, Timothy Andison and Jean Duguay. John Dillman and Donald Plumley, Q. C. , of Lang Michener also acted for Rogers on a revision to the brand licence agreement and related arrangements under which Rogers uses the AT&T brand. This transaction was the second stage of a two-part arrangement. In the first stage BT acquired 30% of AT&Ts interest in AT&T Canada for $600 million with a commitment to increase its participation should the CRTC permit foreign controlled corporations to own more than a 30% of the Canadian company.
