Computershare Investor Services Inc. (Computershare) has purchased the transfer agency and corporate trust business from Montreal Trust Company and Montreal Trust Company of Canada. The purchase was completed on June 30, 2000. The transaction was structured as an asset purchase, although the parties have also entered into various agreements that require Montreal Trust to continue to provide certain services during the time it will take to transition the business (including the clients) to the new purchaser.

Computershare Investor Services Inc. is the Canadian subsidiary of Computershare Limited, a large publicly traded company listed on the Australian Stock Exchange and a global provider of transfer agency services.

Stikeman Elliott acted for Computershare. Brian Pukier led the team with assistance from Andrea Alliston and Gwen Cheung, Peter Hamilton, Lorna Cuthbert and Jeff Brown. McCarthy Tétrault acted for Montreal Trust Company and its shareholder, the Bank of Nova Scotia with a team of lawyers that included Stephen Clark, Gregory Winfield, Daryl McLean and Dean Palmer.
