Gallagher Benefit Services (Canada) Group Inc. acquires Accompass Inc.

On December 3, 2018, Gallagher Benefit Services (Canada) Group Inc. (“GBS Canada”), a subsidiary of Arthur J. Gallagher & Co. (“AJG Co”) (NYSE: AJG), completed its acquisition of the Accompass entities (“Accompass”), a leading Canadian benefits, retirement and compensation consulting firm. The terms of the transaction were not disclosed. 

Accompass offers a full range of health and welfare, investment and retirement, executive compensation, and broad-based compensation consulting and support services to clients throughout Canada. Accompass’ strong presence with both Toronto-based and large national organizations further expands GBS Canada’s footprint across Canada. 

AJC Co. is a global insurance brokerage, risk management and consulting services firm, headquartered in Rolling Meadows, Illinois, has operations in 35 countries, and offers client service capabilities in more than 150 countries around the world through a network of correspondent brokers and consultants. 

GBS Canada’s legal team was led by Samantha Alfonzo, Chief Legal Officer, with assistance from Fasken Martineau DuMoulin LLP by a team led by Wojtek Baraniak (M&A/Corporate/Insurance Regulatory), that included Elyse Velagic, Jack Yu and Sophie MacRae (M&A/Corporate). 

Accompass was represented by Devry Smith Frank LLP with a team led by Dan Rothberg (M&A/Corporate) that included Jim Proskurniak and Marly Peikes (M&A/Corporate) as well as Marty Rabinovitch and Shawna Sosnovich (Employment).
