The Hockey Company Closes IPO

On June 11, 2003, Montreal-based The Hockey Company closed its initial public offering through the issuance of common shares in Canada and a concurrent Rule 144A offering in the U.S. of The Hockey Company Holdings Inc., its newly created parent company. The closing resulted in gross proceeds of $72 million.

The Hockey Company was represented in-house by Josee Battista, director, legal, and secretary; in Canada by McCarthy Tétrault LLP, with a team that included Terry Fontana, Benjamin Silver, Patrick Boucher, Alison Breen and Denis Lavoie (securities), and assisted by Luc Grenon (tax); and in the U.S. by Morgan, Lewis & Bockius LLP, with a team that included David Pollak, Jodi Lashin and Finnbarr Murphy and assisted by Ken Kail and Christopher Harvey (tax).

The underwriting syndicate was led by Merrill Lynch Canada Inc., and included Scotia Capital Inc. and National Bank Financial Inc. The underwriting syndicate was represented in Canada by Ogilvy Renault, with a team that included Clemens Mayr, Stephen Kelly and Dustin Isaacs (securities) and assisted by Jules Charette (tax); and Skadden, Arps, Slate, Meagher & Flom LLP acted for the underwriters in the U.S. with respect to the Rule 144A offering, with a team that included Christopher Morgan, Jason Saltzman and Eric Spindel.
