On October 25, 2006, ATI Technologies Inc. (ATI) was acquired by an affiliate (the purchaser) of Advanced Micro Devices, Inc. (AMD). On July 23, 2006, ATI had agreed with the purchaser and AMD to a transaction under which all of its shares were to be acquired under a plan of arrangement under the Canada Business Corporations Act. ATI's shareholders approved the transaction on October 13, 2006 and the Ontario Superior Court of Justice approved the plan of arrangement on October 17, 2006. Under the terms of the plan of arrangement, ATI's shareholders received either cash or shares of AMD stock for each ATI share held for aggregate consideration valued at approximately US$5.4 billion at the time of closing.
