Bell Canada Completes $700M Offering of Preferred Shares

On June 18, 2001, Bell Canada successfully completed the sale of 14 million Series 19 Preferred Shares for proceeds of $350 million. Of this number, six million shares were placed publicly in Canada through an underwriting syndicate composed of Scotia Capital Inc., TD Securities Inc., BMO Nesbitt Burns Inc., CIBC World Markets, RBC Dominion Securities Inc., Merrill Lynch Canada Inc., National Bank Financial and HSBC Securities (Canada) Inc. Eight million shares were subscribed by private purchasers with the proceeds of the redemption of Bell Canada perpetual preferred shares they previously held on the same date.

Bell Canada was represented by Chief Legal Officer and Corporate Secretary Timothy E. McGee and Assistant General Counsel Ildo Ricciuto, assisted by Richard W. Shannon and Roderick D. Elliott of Borden Ladner Gervais LLP in Montreal. The underwriters and the private purchasers were advised by Luc Lissoir, Martine Guimond and Karine Dumont of Gowling Lafleur Henderson LLP in Montreal.

This offering followed a previous one of 14 million Series 17 Preferred Shares of Bell Canada completed on March 30, 2001 for proceeds of $350 million. Of these, eight million shares were offered publicly in Canada through an underwriting syndicate composed of TD Securities Inc., BMO Nesbitt Burns Inc., Scotia Capital Inc., CIBC World Markets, Merrill Lynch Canada Inc., National Bank Financial, RBC Dominion Securities Inc. and HSBC Securities (Canada) Inc., and 5.4 million shares were subscribed by private purchasers with proceeds of the redemption of Bell Canada perpetual preferred shares they previously held.
