On November 21, 2002, Saint-Bruno, Quebec-based Bombardier Transportation announced and closed the signature of a long-term global information technology outsourcing contract with Computer Sciences Corporation (CSC), following a competitive bid process that began earlier in the year. The value of the contract was in excess of $1 billion for the provision of information technology (IT) services across more than two hundred sites in more than 20 countries located in Europe, the Americas, Australia, Asia and Africa.
Under the master information technology services agreement and the local services agreements, CSC will provide Bombardier Inc.’s rail transportation equipment group with desktop, help desk, call centre, data centre, network and application management services. The implementation of this outsourcing project requires the transfer of numerous employees and IT assets from Bombardier local entities to CSC local entities.
Charles Tessier of Brouillette Charpentier Fortin (BCF) in Quebec led the legal team for Bombardier, which included Richard Epstein, Jocelyn Auger, Guy Rouleau, Line Poliquin and Claude Demers also of BCF, and in-house counsel Jost Arnsperger, Johanne Delage, Erik Ryll and Catherine Ross. Bombardier was also represented by Milbank, Tweed, Hadley & McCloy LLP, with a team that included Elizabeth Ebauzã in London and Sarah Otte in Frankfurt, as well as Daniel Paul (information technology) and François Dupuis (corporate) of Ogilvy Renault.
