Brookfield Infrastructure completes $16 billion strategic acquisition of Inter Pipeline

On October 28, 2021, Brookfield Infrastructure Partners L.P., together with its institutional partners, completed the strategic acquisition of Inter Pipeline Ltd. (IPL) in a deal valued at approximately $16 billion. The transaction was initiated as an unsolicited offer by way of take-over bid to acquire all of the outstanding common shares of IPL for a combination of cash proceeds and shares in a Brookfield related entity, and culminated in the acquisition by Brookfield of all of the remaining outstanding shares of IPL by way of a subsequent acquisition transaction pursuant to a statutory Court-approved plan of arrangement under the Business Corporations Act (Alberta).

Norton Rose Fulbright served as special counsel to Brookfield Infrastructure Partners L.P. on matters pertaining to the pipelines and energy infrastructure businesses of IPL, including undertaking a significant due diligence review of IPL’s business segments and analysis of potential opportunities for the acquired businesses, and advising generally on certain aspects of Alberta law.
