Cinram and MP3.Com

In late 1999 Cinram International Inc. and MP3.com, Inc. of San Diego, California, entered into a strategic alliance which included an investment by MP3 in Cinram shares and warrants and a long-term, exclusive manufacturing and fulfillment services agreement. Also included in the transaction was an investment by CIBC World Markets in Cinram. Fogler, Rubinoff represented Cinram on the Canadian aspects of the transaction while the Toronto office of Shearman & Sterling represented Cinram on the U.S. side. The Fogler team included Norman May, Q.C., Monique T. Rabideau, Michael J. Bellman and Eric Roblin. The Shearman team included Christopher Cummings and Saira Khan. MP3.com was represented by Cooley Godward LLP of San Diego and CIBC World Markets was represented by Todd M. May at Smith Lyons.
