Dawn Food Products Purchases CSP Foods

Dawn Food Products (Canada), Ltd., a subsidiary of Dawn Food Products, Inc., completed the purchase of CSP Foods, a wholly owned division of Saskatchewan Wheat Pool, on February 25, 2002. Dawn Food Products, Inc. is a full-service bakery supplier and distribution company headquartered in Jackson, Michigan. CSP is an integrated manufacturer and distributor of food ingredients to the bakery, food services and retail grocery sectors with production operations in Saskatoon, Saskatchewan and Etobicoke, Ontario. The purchase price was approximately $38 million, subject to adjustments.

Dawn Food Products (Canada) was represented by Patrick Phelan, Bruce McKenna, James Musgrove and Michael Hirshfeld of Lang Michener. Saskatchewan Wheat Pool and CSP were represented by Brian Scherman, Q.C., David Gerecke and Heather MacMillan-Brown of Balfour Moss in Saskatchewan, and Peter Bergbusch and Stewart Berringer in Regina.
