Decoma International Inc., a public subsidiary of Magna International Inc. and a leading North American and European manufacturer of fascias and related exterior auto parts, raised approximately $174 million in an equity share offering that closed on July 7, 2001. The issue of 14 million Class A Subordinate Voting Shares was oversubscribed, and the 15 per cent ‘greenshoe’ of 2.1 million shares was taken up by the underwriters. The transaction will help to finance Decoma’s purchase last year of approximately $700 million of manufacturing facilities.
The legal team for Decoma was led by its General Counsel, David Benson, and included Brian Davis, Chris Fowles, Paul Guthrie and Rebecca Brackley of Torys. The underwriters, RBC Dominion Securities Inc., CIBC World Markets Inc., TD Securities Inc., BMO Nesbitt Burns, Salomon Smith Barney Inc., Scotia Capital Inc. and Griffiths McBurney & Partners, were represented by Goodmans LLP with a team that included Stephen Halperin, Francesca Guolo, Kari MacKay and Krista Coburn.
