DoubleClick Acquires FloNetwork

On April 23, 2001, DoubleClick Inc., the leading digital marketing solutions company, headquartered in New York, announced that it had indirectly acquired all of the shares of FloNetwork Inc. (now DoubleClick Email Canada Inc.), a privately held e-mail technology provider based in Toronto, for consideration consisting of a combination of cash and shares.

For legal assistance in this transaction, DoubleClick turned to Davies Ward Phillips & Vineberg LLP in Toronto and Brobeck, Phleger & Harrison LLP in New York. Leading the deal for DoubleClick was an in-house team consisting of DoubleClick’s General Counsel, Elizabeth Wang, and DoubleClick’s Associate General Counsel, Pamela Schoenfeld. The Davies team was comprised of Cameron Rusaw, Derek Vesey and Peter Westcott (corporate), Siobhan Monaghan and Claire Kennedy (tax) and Patrick Monahan (employment). The Brobeck team was comprised of Bill Myers, David Rosewater, Mark Wiedemer and Michelle Lung (corporate) and Grady Bolding (tax). FloNetwork was advised by a team from Blake, Cassels & Graydon LLP consisting of Chris Hewat, John Kolada, Paula Sawyers, Jeff Galway, Robert Brent, Markus Viirland (corporate), Jeffrey Trossman and Peter Lee (tax) and by Testa, Hurwitz & Thibeault, LLP. The Testa team consisted of Kathy Fields and Gustavo Resendiz (corporate) and Arnold May and Ernest Ng (tax).
