On October 13, 2004, EnerVest Diversified Income Trust completed an exchange offer under which EnerVest issued approximately 22.5 million of its trust units at $7.34 per unit in exchange for units of 118 different income, royalty and real estate investment trusts and limited partnerships, all of which such issuers are listed on the Toronto Stock Exchange. The aggregate value of EnerVest units issued under the offering was approximately $165.5 million.
The EnerVest legal team was directed by Ward Mallabone, vice-president, law at EnerVest, with assistance from Heenan Blaikie LLP, led by Lloyd Symons and Mark Jadd (tax), and Peter Yates and Bruno Caron (corporate/securities). GMP Securities Ltd. acted as dealer manager for the exchange offer and was represented by Macleod Dixon LLP with a team that included Lianne Tysowski and Harvey Steblyk (securities) and Darren Hueppelsheuser (tax).
