On February 3, 2006, Harvest Energy Trust and Viking Energy Royalty Trust completed a plan of arrangement merging the two trusts into one of Canada's largest conventional oil and natural gas trusts, which will retain the Harvest name. The uniting of these two technically focused organizations, with properties in five key areas across Western Canada, has created a trust with an initial enterprise value in excess of $4 billion.
In connection with the merger, Harvest secured a new credit facility from a syndicate of Canadian banks led by CIBC World Markets and TD Securities Inc.
Harvest was represented by Burnet, Duckworth & Palmer LLP with a team that included Grant Zawalsky, Shannon Gangl, Spencer Coupland and Laurie Schrader (securities), John Brussa and Jeff Fortin (tax), Alicia Quesnel (oil & gas and competition), and Cal Johnson, Q.C., and David Grout (banking).
Viking was represented by Macleod Dixon LLP with a team that included Robert Engbloom, Q.C., Neville Jugnauth, Scott Negraiff, Jamie Gagner and Stacey Ostrander (securities), Orville Pyrcz, Q.C., Ed Heakes and Craig Maurice (tax), Chrysten Perry, KayLynn Litton and Beth Nickless (oil & gas) and John Carleton (competition).
The banking syndicate was also represented by Macleod Dixon with a team that included Rick Borden and Kirsty Sklar (banking).
