McCarthy Tétrault is acting for “white knight” Haworth, Inc. (and its wholly-owned subsidiary, Haworth Acquisition Corp.) on its friendly take-over bid for the common shares of SMED International Inc. (SMED). As reported in the February issue of Lexpert, SMED had been the subject of a hostile bid by Office Specialty Inc. The value of Haworth’s offer is $24/share, being approximately $215 million (fully diluted), versus Office Specialty’s $19/share. Haworth’s bid is currently scheduled to expire February 22, 2000.
