Haworth Inc.

McCarthy Tétrault is acting for “white knight” Haworth, Inc. (and its wholly-owned subsidiary, Haworth Acquisition Corp.) on its friendly take-over bid for the common shares of SMED International Inc. (SMED). As reported in the February issue of Lexpert, SMED had been the subject of a hostile bid by Office Specialty Inc. The value of Haworth’s offer is $24/share, being approximately $215 million (fully diluted), versus Office Specialty’s $19/share. Haworth’s bid is currently scheduled to expire February 22, 2000. The principal lawyers on the offer at McCarthy’s Calgary office are Richard A. Shaw, Q.C., Bruce L. MacPhail, Karen L. Wiwchar and John S. Osler. SMED is represented by Bennett Jones, with a team led by William Rice that includes Martin A. Lambert, John D. MacNeil, John H. Kousinioris, W. Chipman Johnston, Roland K. Laing, Robyn M. Bell, James A. D’Andrea and Tim D. Kerrigan.
