Hay Island Acquires Technimeca and C.P. Tech

Connecticut-based Hay Island Holding Corporation acquired, through Canadian affiliates, the assets and businesses of Montreal-based Technimeca International Inc., and C.P. Tech. Plating Centre. Technimeca and C.P. Tech. are both involved in the manufacture of precision-machined components and the electro-plating and surface finishing businesses. The deal closed on November 26, 2002, and its value is confidential.

The Hay Island legal team was led by in-house counsel Alfred Galgano and Kevin Walsh, assisted by Heenan Blaikie LLP with a team that included Auguste Masson and Carl Bélanger (corporate), Lise Morissette and François-Simon Labelle (financing), Michel Poirier (environment) and Subrata Bhattacharjee and Jason Yustin (competition and foreign investment review).

Technimeca and C.P. Tech. were represented by Eric Boulva of Robinson Sheppard Shapiro in Montreal. Jean Lamothe, Natalie Gosselin and Martin Corbo of Stikeman Elliott LLP represented the National Bank of Canada, which provided credit facilities to Hay Island in connection with the transaction.
