Kissner Milling and Magco Merge Ice Melt and Salt Businesses

Effective September 30, 2009, Kissner Milling Company Limited (Kissner) and Magco Incorporated (Magco) completed the merger of their ice melt and salt businesses to create a North American industry leader.

Kissner is an Ontario-based salt and chemical company that serves a wide variety of markets as an ISO 9001:2000 supplier of salt, shrink wrap, food and industrial grade chemical products.

Magco is a Pennsylvania-based producer of high quality packaged ice melting products, solar water softening salts and specialty chemicals. Concurrent with the merger, Kissner put in place a new credit facility with Royal Bank of Canada (RBC).

Terms of the transactions were not disclosed.

Kissner was represented by Stikeman Elliott LLP with a team comprised of Simon Romano in Toronto, and Charles Kraus, Benjamin Hudy and Chris Scherman in Calgary (M&A); Roanne Bratz in Montréal, and Douglas Richardson and Julie D'Avignon in Calgary (tax). Craig Mitchell and Mairi MacGillivray of the firm's Toronto office handled negotiations with RBC on behalf of Kissner.

Magco was represented in Canada by Andrew Reback (tax); Sheldon Plener, Luke Woolford and Michael Lungu (business law) of Cassels Brock & Blackwell LLP, and in the United States by Michael McBratnie and Andrew Romberger (M&A); Elaine Stanko (banking) and Stephen Weiss and Pauline Markey (tax) of Fox Rothschild LLP.
