New York-based Kroll, Inc. announced its US$140 million acquisition of Minneapolis-based Ontrack Data International, Inc. through a triangular merger on April 1, 2002. Kroll was represented in-house by Sabrina Perel, vice-president and general counsel, and by external counsel Torys LLP with a team that included Brad Cost, Darren Baccus, Amy Johnson-Spina and Peter Keenan (tax) in New York and Robin Coster (intellectual property) in Toronto. Ontrack was represented by in-house counsel Paul Fabel, and by Robins, Kaplan, Miller & Ciresi LLP with a team that included John Houston, Sari Laitinen and Ryan Miest.
