Lojack Acquires Boomerang Tracking

On October 29, 2004, Lojack Corp., a US-based marketer of wireless security and location products and services, completed its acquisition of Boomerang Tracking Inc., a Canadian marketer and distributor of tracking devices based in Montreal, Quebec. The total dollar value of the transaction was approximately C$64 million. Lojack acquired all of the outstanding shares of Boomerang for a consideration consisting of cash, Lojack stock, exchangeable shares or a combination thereof pursuant to a Plan of Arrangement under the Canada Business Corporations Act.

Boomerang was represented by Davies Ward Phillips & Vineberg LLP, with a team that included Robert Vineberg, Maryse Bertrand, Neil Kravitz and Lloyd Perry Feldman (corporate/securities), and Alan Shragie and Jacqueline Sanderson (tax) in Canada, and Guy Lander and Charles Malone (corporate/securities) in the US.

The independent committee of the board of directors of Boomerang was represented by Gérard Coulombe, Q.C., and Benoit Dionne of Desjardins Ducharme Stein Monast.
