On July 27, 2009, MTS Allstream and Rogers Wireless signed a number of strategic agreements that will see both companies share the cost to deploy a Universal Mobile Telecommunications Systems/High Speed Packet Access (HSPA) wireless network across the existing MTS regional wireless footprint.
Rogers has also established a roaming agreement with MTS, under which MTS's HSPA customers will roam exclusively on Rogers's fastest mobile network within Rogers's wireless service area across Canada.
The various agreements will enable Rogers and MTS to offer more wireless customers across the country access to mobile solutions and the widest variety of choice in network services.
The cost to MTS for the network build will be up to $70 million.
The agreements also provide MTS with the opportunity to launch a national wireless business offering under the Allstream brand through a competitive wholesale arrangement. Regulatory approval was granted on September 11, 2009 and MTS expects to have the majority of the network completed by the end of 2010.
MTS was advised by an in-house counsel team led by Paul Beauregard, vice president and general counsel, and that included Ellen Leibl, QC, Candace Bishoff and Melanie Enns in Winnipeg, as well as Mark Eklove and Marilyn Clarke in Toronto and Jennifer Crowe in Ottawa with respect to regulatory and competition matters. Thompson Dorfman Sweatman LLP represented MTS with respect to corporate, securities and tax matters with a team comprised of Michael Sinclair, QC, Barry MacTavish, Leilani Kagan and Lisa Stiver. Fraser Milner Casgrain LLP represented MTS with respect to regulatory and competition matters with a team comprised of Kirsten Embree, Barry Zalmanowitz, Christopher Kent and Olivia Wright.
Rogers was advised by a team of in-house legal counsel headed by Graeme McPhail, vice president and associate general counsel, and that included Marie-Claude Michaud and Jason Van Dam. Rogers was also assisted by Carl De Vuono of the Toronto office of Lang Michener LLP. Lang Michener also represented Rogers in relation to competition matters with a team comprised of James Musgrove and Esther Rossman.
