MTY Tiki Ming Enterprises Acquires Country Style Food Services Holdings

On May 1, 2009, CAI Capital Partners and Company II, L.P., CAI Partners and Company II, L.P., CAI Capital Partners and Company II-C, L.P. (collectively, “CAI”) and certain other shareholders sold all of the shares of Country Style Food Services Holdings Inc., the parent corporation of Country Style Food Services Inc., to MTY Tiki Ming Enterprises Inc. The purchase price was confidential. Through this acquisition, MTY Tiki Ming Enterprises became the owner of the quick service restaurant franchise chains operating under the trade names Country Style™ and BunsMaster™.

MTY Tiki Ming Enterprises Inc. was represented by Caroline Mazzetti and Lizanne Brunelle, legal counsel at MTY Group, and by Paul Bowes from Salley Bowes Harwardt Law Corp.

CAI and Country Style were represented by Stikeman Elliott LLP, with a team that included Simon Romano, Samantha Horn and Tess Lofsky.
