US photonics phenom Nanovation Technologies Inc. (Nanovation) and Ont.-based holding company Stamford International Inc., (Stamford), announced on February 24, 2000 that, pursuant to a Court-ordered plan of arrangement, Nanovation will undertake a $1.25 billion exchangeable share acquisition of Stamford. Under the agreement, the common shareholders of Stamford will exchange their Stamford shares for Exchangeable Shares and Tail Exchangeable Shares of a Canadian subsidiary of Nanovation, and Stamford will amalgamate to become a subsidiary of Nanovation. The exchange ratio of the deal will be confirmed at the effective date of the Arrangement.
Closing of the deal is expected to occur as soon as practicable following shareholder and final Court approval.
