Nelson Thomson Purchases Irwin Publishing Assets

Scarborough, Ontario-based Nelson Thomson Learning, a division of Thomson Canada Limited, purchased the assets of Irwin Publishing Ltd., a subsidiary of General Publishing Co. Limited, for an undisclosed purchase price on August 15, 2002.

Certain terms of the transaction, including the purchase price, were sealed by an order of Justice Ground, dated August 14, 2002. The transaction received court approval on the same day. General Publishing received bankruptcy protection, pursuant to the Companies’ Creditors Arrangement Act, in April 2002. Irwin was not included in the initial court filing, but was added as part of the court approval process for the Nelson Thomson purchase transaction.

Borden Ladner Gervais LLP acted for The Bank of Nova Scotia, the secured creditor and DIP lender to the General Publishing group of companies. The BLG team consisted of Bill Robertson, Craig Hill, John Marshall and Jon Dyck.
