Noranda Files Shelf Prospectus

On February 8, 2001, Noranda Inc. filed a shelf prospectus to qualify up to US$800 million of debt to be issued in the US under the Multi-Jurisdictional Disclosure System. The first take down occurred February 21, 2001 in respect of US$300 million of 8.775 per cent Notes. The underwriters were Goldman Sachs, Credit Suisse First Boston Corporation, Merrill Lynch & Co., Inc., CIBC World Markets and Trilon International Inc.

McCarthy Tétrault acted for Noranda, with a team consisting of Garth M. Girvan, Jonathan Grant, Phil Kurtz and Ian Michael, with Gabrielle Richards on tax. The Noranda in-house team was led by Julie Galloway. Fried Frank Harris Shriver & Jacobson acted for Noranda in the US with a team led by Kenneth Blackman and Angela Grinstead.
