North American Energy Partners Completes $225M Debenture Offering

On April 7, 2010, North American Energy Partners Inc. (“NAEP”) completed an offering of series 1 senior unsecured debentures due 2017 in the aggregate principal amount of $225 million.

The offering was made by way of a private placement. The debentures were sold through a syndicate of underwriters led by CIBC World Markets Inc. and included Scotia Capital Inc., Jefferies & Company, Inc., TD Securities Inc. and HSBC Securities (Canada) Inc.

NAEP was represented in Canada by Borden Ladner Gervais LLP with a team that consisted of Frank Callaghan, Gordon Raman, Terence Lui, Vanessa McMinn and Habeeb Syed (corporate and securities), Howard Silverman (financial services) and Larissa Tkachenko and Danniel Lang (tax); and in the US by Bracewell & Giuliani LLP with a team that consisted of Gary Orloff, Troy Harder and Melissa Buce (corporate and securities) and Eamonn Bakewell (tax).

The underwriters were represented by Blake, Cassels & Graydon LLP with a team that consisted of Ross Bentley, Scott Clarke, Kevin Massie, Dana Hnatiuk and Sunita Chowdhury (corporate and securities), Tim Theroux (financial services) and Kurtis Bond (tax).
