ONEX Acquires LeBlan And BMS

In a deal that closed February 5, 2001, ONEX Corporation (together with joint venture partners) acquired LeBlanc Ltd. and BMS Communications Services Ltd. from LeBlanc & Royle Enterprises Inc. LeBlanc is the largest full-service wireless infrastructure provider in Canada, with annual revenues of approximately $150 million. The joint venture partners are the principals of Towers Network Inc.

Acting for ONEX were Stephen Pincus, William Alcamo, Mitchell Sherman and Bob Vaux of Goodmans LLP. Stikeman Elliott in Toronto represented the joint venture partners with a team that included Milton Hess, Q.C., David McCarthy, Curtis Cusinato and Craig Mitchell acting on the corporate side, Bruce Pollock assisting with labour/employment matters, Paul Collins providing competition advice and Mario Paura dealing with real estate. Torys acted for LeBlanc & Royle with a team that included Sharon Geraghty, Melanie Shishler and Graham Rawlinson, with advice from Brian Flood. John Unger dealt with tax and Jay Holsten with competition; Don Roger dealt with real property matters; Rhonda Maines handled changes to the secured financing arrangements; Bill Estey assisted on opinion issues; and Hugh O’Reilly provided advice regarding employment and benefits matters.
