Ossur Acquires Generation II Orthotics

On October 3, 2003, Iceland-based Ossur hf acquired all the shares of B.C.-based Generation II Orthotics, Inc., a developer and manufacturer of orthotic knee braces and its U.S. affiliate, Generation II USA, Inc., for total consideration of US$31 million. The acquisition will strengthen Ossur’s research and development capabilities and will allow Ossur to have a broader product range.

Ossur was represented in Canada by Stikeman Elliott LLP, with a team that included Samantha Horn, Simon Romano and Dean Kourmanakos and assisted by Ralph Lutes and Rachel Hutton (real estate) in Vancouver; Julie Thibault (labour), Alan Kenigsberg (tax) and Matthew Dooley in Toronto; and Eugene Derenyi (IP) in Ottawa; and in the U.S. by Warshavski, Paula Corsaro and Eric Friedlander.

Generation II Orthotics was represented in Canada by Davis & Company in Vancouver, with a team that included Stuart Morrow, Megan Filmer and Ruby Chan (corporate finance), Doug Morley (tax), Chris Bennett (IP) and Catherine Gibson (real estate); and in the U.S. by Garvey Schubert Barer in Seattle, with a team that included Jon Kroman, Scott Warner, Brent Jones and Amanda Hinds.
