On March 1, 2006, Pernod Ricard SA completed the sale of the entire share capital of Dunkin' Brands, Inc. to a consortium of global private equity firms consisting of Bain Capital Partners, The Carlyle Group and Thomas H. Lee Partners for a purchase price of US$2.425 billion.
Dunkin' Brands, which operates the Dunkin' Donuts and Baskin-Robbins brands in Canada, as well as the Togo's banner in the United States, was a wholly-owned subsidiary of Allied Domecq plc and as such was acquired by Pernod Ricard incidentally as a result of Pernod Ricard's acquisition of Allied Domecq in July 2005.
In Canada, Stikeman Elliott LLP acted for both Pernod Ricard and the investor's consortium, with a team that included Paul Collins and Debbie Salzberger (competition). Jane Willis and Taylor Hart of Ropes & Gray LLP, and Paul Bird of Debevoise & Plimpton LLP and Ian Fitzsimons, Pernod Ricard's general counsel, were on in the US for the investor's consortium and Pernod Ricard, respectively.
