On September 15, 2004, Quebecor Media Inc., through its affiliates, became the owner of all outstanding shares of Netgraphe Inc. This going private transaction was effected by way of amalgamation following the offers to acquire all of the outstanding multiple voting shares and subordinate voting shares of Netgraphe made by a wholly-owned subsidiary of Quebecor Media. The amount of the deal is undisclosed.
