Royal Bank Offering Nets $500 Million

In December, 2000, the Royal Bank of Canada (Royal Bank), through a large group of underwriters led by RBC Dominion Securities Inc., completed an offering of 10,700,000 common shares for total gross proceeds of $500 million. The Royal Bank filed a prospectus with securities regulatory authorities in all provinces and territories of Canada and under the multi-jurisdictional disclosure system filed a registration statement with the Securities and Exchange Commission in the United States.

Stikeman Elliott acted as Canadian legal counsel to RBC Dominion Securities with a team that included Mihkel Voore, Maurice Swan and Quentin Markin. Representing Royal Bank was in-house counsel Donald Brown and a team from Ogilvy Renault including Andrew Fleming, Dawn Whittaker, Sandra Nissan and Troy Ungerman, along with Bill Williams and Eric Wigginton from Sullivan & Cromwell. The underwriters’ US counsel included Brice Voran, Chris Cummings and Richard Crofts of Shearman & Sterling.
