On October 27, 2010, Shaw Communications Inc. closed its $2 billion purchase of all of the broadcasting assets of Canwest Global Communications Corp.
The transaction involved the acquisition of 100 per cent of the over-the-air and specialty television businesses of Canwest, including all of the equity interests in CW Investments Co., the Canwest subsidiary which owned a portfolio of specialty television channels acquired from Alliance Atlantis Communications Inc. in 2007.
Collectively, these assets will form Shaw Media, a division of Shaw.
The recapitalization transaction was effected pursuant to a plan of compromise, arrangement and reorganization under the Companies' Creditors Arrangement Act and the Canada Business Corporations Act.
The holders of the 8 per cent Senior Subordinated Notes issued by Canwest Media Inc. were repaid US$442.4 million as part of the transaction.
