4158148 Canada Inc., an indirect subsidiary of Tarkett Sommer AG, completed its $50.5 million take-over bid for the common shares of Domco Tarkett Inc. not owned by Tarkett Sommer and its affiliates. The deal closed on August 29, 2003. Approximately 80.2 per cent of more than 6.5 million minority shares outstanding were tendered to the offer. At the special meeting of Domco Tarkett’s shareholders on October 30, 99.12 per cent of the outstanding common shares voted in favour of a second stage amalgamation transaction. In the amalgamation, minority shareholders of Domco Tarkett received $7.75 per common share, the same consideration paid to shareholders who tendered to Tarkett Sommer’s bid for Domco Tarkett in August. As a result, Tarkett Sommer and its affiliates control all the outstanding shares of the corporation resulting from the amalgamation, Tarkett Inc., completing the going private transaction of Domco Tarkett.
