On December 29, 2000, TD Capital Group Limited (TD Capital) completed the establishment of its $635 million Canadian Private Equity Partners Fund (CPEP). CPEP’s mandate is to make private equity and equity-related investments in Canadian based companies. CPEP consists of a Canadian limited partnership which is a qualified limited partnership under the Canadian Tax Act (so that investments in it will not be foreign property), a Barbados limited partnership in which non-Canadians have invested, a Canadian Entrepreneurs limited partnership, the Bank itself and TD Capital. Investors in CPEP include principals of TD Capital, employees of the Bank and of TD Capital, Canadian and American institutional investors, and high worth Canadian and American individual entrepreneurs.
Goodman and Carr LLP acted for TD Capital in establishing CPEP with a team led by Jeffrey Blidner and Murray Perelman, with assistance from Mara Collins, Joseph Freedman and Stuart Brotman (corporate and securities), Elizabeth Ellis (regulatory) and Barry Naiberg, Bernard Morris and Yvette Morelli (tax).
