On July 22, 2004, The Body Shop International plc, through two wholly-owned subsidiaries, the Body Shop Canada Ltd. of Canada and Buth-Na-Bodhaige Inc. in the US, acquired the head office and retail operations of its head franchisee in Canada, 94272 Canada Limited, carrying on business as the Body Shop Canada. The acquisition was worth C$26 million, payable in cash and shares of Body Shop International, and is subject to adjustment. The Canadian Body Shop operation is conducted through 111 stores across Canada of which 69 are owned by sub-franchisees.
