TVA Group Inc. also completed on May 12, 2000 a $91 million public offering of subscription receipts, each representing the right to receive one participating Class B non-voting share without par value of TVA Group. The subscription receipts were exchanged the same day for Class B shares. The proceeds of the offering were used to finance TVA Group’s share of the acquisition of Motion International by TVA Acquisition Inc. TVA Group further issued $9.1 million of Class B shares pursuant to the exercise of the over-allotment option granted to the underwriters, for total gross proceeds of $101 million.
