United Stationers Acquires Azerty Canada

On April 2, 2001, United Stationers Supply Co., a subsidiary of United Stationers Inc. based in Des Plaines, Illinois, completed the second step of its acquisition of the assets of Azerty Canada, a wholesale computer supply business, from MCSi Canada Inc., a subsidiary of MCSi, Inc., based in Dayton, Ohio. The aggregate purchase price for both steps of the acquisition was approximately $50 million. Azerty Canada is a specialty wholesale distributor of computer consumables, peripherals and accessories. United Stationers Inc., with sales of US$3.4 billion, is North America’s largest distributor of business products to resellers. Its integrated computer-based distribution system makes more than 35,000 items available to 20,000 resellers. This transaction reinforces United Stationers’ presence in Canada, adding scale (approximately US$115 million in annual sales) and infrastructure through facilities in Toronto, Montreal and Vancouver.

United Stationers’ General Counsel Susan Maloney Meyer and Assistant General Counsel, Cecelia Currie were assisted in these transactions by Davies Ward Phillips & Vineberg LLP and a team comprised of Cameron M. Rusaw, Rosemary A. Newman and Lindsey A. Hutton (corporate) and Geoffrey Turner and Duncan Osborne (tax). MCSi, Inc. and its subsidiaries were represented in Canada by Chris Turney and Michael Kray of Fraser Milner Casgrain LLP and in the US by Jeffrey A. Koeppel of the Washington, DC firm of Elias, Matz, Tiernan & Herrick LLP.
