On October 12, 2004, UTi Worldwide Inc. announced the acquisition of all of the shares of Unigistix Inc. of Toronto from Wynnchurch Capital Partners Canada LP and certain of its affiliates, Caisse de dépôt et placement du Québec, Roynat Capital Inc., the founding shareholder and other shareholders. The purchase price consisted of an up-front cash payment of $93.5 million and a potential earn-out payment of up to approximately $6 million payable over two years based on anticipated future growth of the Canadian company.
