VOXCOM Completes Recapitalization with Catterton and Clairvest

In June 2002, VOXCOM Incorporated completed a $115 million dollar recapitalization transaction with Catterton Partners and Clairvest Group Inc., which included: (i) the purchase from treasury of $35.9 million convertible preferred shares of VOXCOM by Catterton and Clairvest; (ii) repayment of VOXCOM’s outstanding subordinated debt; (iii) a restructuring of VOXCOM’s $70 million senior credit facility; and (iv) certain corporate governance and post-closing shareholder arrangements.

VOXCOM is a national leader in affordable home and business security services. Catterton Partners is a U.S.-based private equity firm. Clairvest is a Toronto-based merchant bank that forms mutually beneficial investment partnerships with entrepreneurial corporations.
