Sean's practice involves all aspects of corporate/commercial litigation, with an emphasis on business, securities, and mining disputes. His trial and appellate experience in commercial litigation matters includes contested merger transactions, takeover bids, plans of arrangements, shareholder litigation, dissent proceedings, contractual disputes, negligence claims and defending class actions. Sean has experience advising clients on compliance with domestic and international anticorruption legislation, including the Corruption of Foreign Public Officials Act. Sean also advises investment dealers on matters of regulatory compliance and has represented clients in regulatory investigations and hearings conducted by the BC Securities Commission and other provincial securities commissions, the Investment Industry Regulatory Organization of Canada (IIROC) and the Mutual Fund Dealers Association of Canada (MFDA). Sean's experience includes a secondment to the BC Securities Commission (enforcement division), where he negotiated settlements and appeared as counsel in commission hearings. Sean is active in numerous professional, academic and community organizations.
On February 28, 2019, Tilray, Inc. (“Tilray”), a global leader in cannabis research, cultivation, production and distribution, acquired through a subsidiary all of the issued and outstanding securities of FHF Holdings Ltd. (doing business as “Manitoba Harvest”) from Compass Group Diversified Holdings, LLC (“Compass”) and other shareholders of Manitoba Harvest, by way of a plan of arrangement pursuant to the Business Corporation Act (British Columbia).
On August 14, 2018, Aurora Cannabis Inc. (TSX: ACB) (OTCQB: ACBFF) (Frankfurt: 21P; WKN: A1C4WM) completed its June-announced acquisition of Anandia Laboratories Inc. in an all-stock transaction valued at $118 million pursuant to a court ordered plan of arrangement.
On September 5, 2018, Canopy Growth Corp. (Canopy), the largest licensed producer of regulated cannabis in the world, completed its acquisition of Hiku Brands Company Ltd. (Hiku) by way of plan of arrangement (the Arrangement).

On July 28, 2016, Fortuna Silver Mines Inc. (“Fortuna”) completed its previously announced acquisition of all of the issued and outstanding shares (“Goldrock Shares”) of Goldrock Mines Corp. (“Goldrock”) by way of plan of arrangement (the “Arrangement”).
On June 23, 2016, Nevsun Resources Ltd. (Nevsun) completed its acquisition of Reservoir Minerals Inc. (Reservoir), a TSX-V listed company, for approximately US$440 million.
On September 30, 2015, BSM Technologies Inc. and Webtech Wireless Inc. completed the previously announced transaction by way of a court approved plan of arrangement under the Business Corporations Act (British Columbia). Pursuant to the plan of arrangement, Webtech has become a wholly-owned subsidiary of BSM and all of the issued and outstanding common shares of Webtech were transferred to BSM in consideration for the issuance by BSM of 2.136 common shares of BSM and a cash payment of $0.52 for each Webtech share.
SciVac Therapeutics Inc., formerly Levon Resources Ltd. and SciVac Ltd. closed a plan of arrangement pursuant to which SciVac completed a reverse takeover of Levon.
