Jay King is a partner practising corporate securities law with a focus on corporate finance, mergers & acquisitions, and regulatory compliance. Jay routinely acts as counsel to both public and private issuers and investment dealers retained as underwriters or financial advisors and has acted on deals involving resource properties in the Americas, Africa, and Australia. Jay offers specialized skills in the mining sector, acting for Canadian and international mining companies involved in negotiated business combinations, domestic and cross-border public equity and debt offerings, private placements, and stock exchange listings. Jay also advises boards of directors and special committees on related-party transactions, corporate governance, and securities law compliance including mineral project disclosure. He was called to the Ontario Bar in 2004.
On July 10, 2015, Newmarket Gold Inc. (Newmarket) and Crocodile Gold Corp. (Crocodile Gold) combined by way of a court approved plan of arrangement under the <i>Business Corporations Act (Ontario)</i>, creating a new gold industry consolidator solidly positioned to acquire high quality gold assets in the world’s most desirable mining jurisdictions. The combined entity has been named Newmarket Gold Inc. and its common shares are trading on the Toronto Stock Exchange under the new symbol “NMI”. The transaction is valued at approximately $185 million.
