Jean Michel has been involved in several major acquisition, sale, merger or going-private transactions of publicly-traded companies, including friendly and hostile takeover bids and complex statutory arrangements. He has also been involved in a large number of private M&A transactions. He has acted on behalf of issuers, securities dealers and institutional investors in various securities offerings, including initial public offerings, other prospectus offerings and private placements. He has also acted for financial institutions in connection with issuances of structured products. His practice includes advising publicly-traded companies concerning corporate and securities matters, including compliance with continuous disclosure obligations, proxy solicitation for shareholder meetings, the launch of share buyback programs and the implementation of securities-based compensation arrangements, and assisting them in their interactions with stock exchanges and securities regulators.
On September 14, 2018, Boralex Inc. (“Boralex”), a Canadian leader in the development and operation of renewable energy facilities and France’s largest independent producer of onshore wind power, completed the acquisition of all of the economic interests of Invenergy Renewables, LLC (“Invenergy”) in five wind farms in Québec, for a total cash consideration of approximately $215 million.
