Nancy Eastman’s practice is focused on securities, mergers and acquisitions and global mining. Working predominantly on mining issues, Nancy advises clients on royalty and stream financings, domestic and cross-border corporate finance, mergers and acquisitions and regulatory compliance. Assisting clients with a variety of securities matters, Nancy has worked with both private and public companies on debt and equity financings, as well as on initial public offerings, reverse takeovers, defensive tactics for hostile bids, stock exchange listings and plans of arrangement. Regularly advising clients on continuous disclosure requirements and compliance with exchange policies, she acts for a number of Toronto Stock Exchange and TSX Venture Exchange listed companies. In the mining sector, Nancy advises on matters dealing with royalty and stream financings, royalty acquisitions, National Instrument 43-101- Standards of Disclosure for Mineral Projects and technical reports. Frequently liaising with local counsel on mineral properties in foreign countries, Nancy’s work has involved projects in Brazil, Chile, Peru, Mexico, Argentina, Uruguay, Sweden, Spain, Kenya and Australia.
On July 31, 2017, Osisko Gold Royalties Ltd (Osisko) completed the acquisition of a high-quality precious metals portfolio of assets consisting of 74 royalties, streams and precious metal offtakes from Orion Mine Finance Group (Orion) in exchange for total consideration of $1.125 billion, consisting of $675 million cash and the issuance of 30,906,594 shares of Osisko.
