Toronto-based e-signature company appoints Janne Duncan as GC

e-Signature company Syngrafii has tapped Janne Duncan as general counsel. Duncan started her new role in January.

The lawyer, whose decades-long career includes tenures at Fasken, Norton Rose Fulbright, and in solo practice, replaces Scott Nettie, who served as Syngraffi’s legal head for six years. Nettie said he will continue helping the company expand its international goals.

“I am excited to help strengthen Syngrafii at a time when it is expanding globally and to work with an incredibly talented and experienced team,” Janne said in a statement.

Duncan says that the role allows her to " work closely with management and board of directors from the perspective of the corporate side, as opposed to outside counsel.”

She adds that the role involves managing governance and compliance issues, working with outside counsel, strategic planning, and building internal capacity.

Duncan spent more than 20 years at Fasken, where she served as a commercial lawyer specializing in mergers and acquisitions, mining, and finance. She then spent 11 years at Norton Rose Fulbright, where she was a senior partner, before joining Hansell McLaughlin Advisory Group as a commercial lawyer.

In 2019, she launched her own firm, focusing on governance, corporate disclosure, ESG best practices, and executive compensation.

Her clients have included public and private companies operating in Canada and globally.

“Janne is a respected senior lawyer and governance expert with international legal experience and a proven track record in strategic planning, compliance, governance best practices, and risk management,” Syngrafii co-founder and chief executive officer Matthew Gibson said in a statement.

“She will help us navigate an increasingly complex legal and regulatory environment in the e-Signature industry and will be an invaluable member of the senior team.”
