AEtna Canada and John Hancock

Fasken Campbell Godfrey is acting as counsel to Aetna Life Insurance Company (U. S. ) in its sale of Aetna Life Insurance Company of Canada to The Maritime Life Assurance Company, a wholly-owned subsidiary of John Hancock Mutual Insurance Company (U. S. ). The consideration for the purchase is Cdn. $432 million in cash. Jonathan Levin, Robert McDowell, Gary Fogler, Janne Duncan and Barbara Lippett are doing the corporate/commercial and insurance company regulatory work with William Bies and Mitchell Thaw advising on tax issues. Goodman Phillips & Vineberg is counsel to Maritime Life with the GPV team being led by Daniel Gormley and consisting of Kenneth Wiener, Jeffrey Singer, Meredith Roth and Kenneth Snider. The transaction is expected to close on October 1, 1999.
