Alimentation Couche-Tard Completes Debt Refinancing

On September 25, 2006, Alimentation Couche-Tard Inc., the leader in the Canadian convenience store industry, refinanced its secured senior term and revolving credit facilities with unsecured evergreen revolving facilities of US$500 million. In North America, Alimentation Couche-Tard Inc. is the third-largest convenience store operator and the second-largest independent (not integrated with a petroleum company) convenience store operator and the most profitable one within such category as a publicly held company.

The credit facilities were arranged by a group of lenders led by National Bank of Canada with, among others, The Bank of Nova Scotia, Canadian Imperial Bank of Commerce, Caisse de dépôt et placement du Québec and Bank of America.

Alimentation Couche-Tard Inc. was represented by Davies Ward Phillips & Vineberg LLP, with respect to both Canadian and US matters, with a team comprised of Sébastien Thériault and Sylvie Guillemette in Montreal and Marc Berger in New York.
