Geoff Holub is a partner in the litigation and dispute resolution group. His practice focuses on the areas of civil and commercial litigation and arbitration, with an emphasis on oil and gas, construction, and manufacturer's liability. Holub has acted for companies, shareholders, directors, and officers in a wide variety of corporate and securities disputes, including directors’ and officers’ liability, oppression, dissent rights, and corporate opportunity cases. Holub is involved in a wide range of commercial matters including contract drafting, negotiation and interpretation, corporate plans of arrangement, strategic advice, and contractual risk analysis primarily in the energy generation, transmission, and distribution industries. He has appeared before the Provincial Court, the Court of King's Bench, and the Court of Appeal in Alberta. Holub represents and advises companies in international and domestic arbitrations conducted under a variety of rules, including the ADRIC, ICC, LCIA, and UNCITRAL rules and regularly appeared before panels of commissioners at the United Nations Compensation Commission in Geneva, Switzerland.
On June 30, 2015, Crescent Point Energy Corp. (Crescent Point), one of Canada’s largest light and medium oil producers, acquired all of the issued and outstanding common shares of Legacy Oil + Gas Inc. by way of arrangement (the Legacy Acquisition). The total consideration for the Legacy Acquisition was approximately $1.53 billion, comprising approximately 18.97 million Crescent Point common shares and the assumption of approximately $967 million of net debt.
