Scott Conover practises general corporate/commercial law. With particular emphasis on private mergers and acquisitions, Scott has extensive experience in the acquisition and divestiture of private companies, amalgamations and other corporate reorganizations. Advising Canadian and foreign entrepreneurs and public and private companies, Scott is regularly involved in a variety of sectors, including industrial, life sciences and technology. Scott advises on the establishment and operation of partnerships and joint ventures. His experience also includes private equity investments, secured lending, the licensing and protection of intellectual property and procurement, as well as the sale and distribution of a variety of products and services. With experience advising directors and independent committees on their duties and potential liabilities, Scott has also provided counsel to closely-held and family owned-companies on governance, succession planning and shareholder resolution. He has acted for both creditors and debtors in complex multi-class debt restructurings and plans of arrangement.
On October 1, 2018, Just Energy Group Inc. (“Just Energy” or the “Company”), a leading consumer company specializing in electricity and natural gas commodities, energy efficiency solutions, and renewable energy options, completed its acquisition of all of the issued and the outstanding shares of Filter Group Inc. (“Filter Group”) through a wholly-owned subsidiary of the Company for $15 million in cash consideration, the assumption of approximately $22 million of Filter Group debt, and future performance based earn-out payments of up to approximately $42 million.
On July 30, 2018, BWX Technologies, Inc. (NYSE:BWXT) (BWXT), a leading supplier of nuclear components and services, completed the acquisition of the medical isotope business of Nordion (Canada) Inc. (Nordion) from private-equity owned Sotera Health LLC (Sotera Health).
On November 3, 2015, G. Cooper Equipment Rentals Limited (Cooper Equipment) completed its previously announced acquisition of SMS Rents, a major Canadian construction equipment rental business. G.C. Andersen Partners, LLC, a New York-based investment bank, acted as exclusive financial advisor to Cooper Equipment and arranged an $80 million senior credit facility to complete the acquisition through its wholly owned broker-dealer, G.C. Andersen Partners Capital, LLC.
Reliance Comfort Limited Partnership (Reliance) closed its purchase of National Energy Corporation, which operates under the name National Home Services (NHS), its water heater and HVAC home services business, from Just Energy Ontario Group Inc. for $505 million (US$462.369 million).
