Luc Lissoir is a partner based in Gowling WLG’s Montreal office. He practises corporate and commercial law, concentrating on infrastructure project procurement, development and financing, private fund formations, M&A transactions and general corporate counselling. Luc has acted for corporate and governmental issuers and investment dealer firms with respect to public and private offerings of equity, debt and synthetic securities in Canada, the US and other foreign markets; assisted in privatizations of Crown corporations and subsequent financings; advised interested parties in public takeover bids or plans of arrangement; and assisted clients in acquiring or selling private businesses. Very involved in infrastructure projects (P3s and alternative modes) and public procurement, Luc has led teams advising procuring authorities, developers, equity consortiums, bank/bond lenders, construction and operations JVs and other participants in projects across Canada and abroad. He has also acted on numerous secondary market and monetization of P3 asset transactions across Canada and infrastructure investment platforms. On June 14, 2018, Nouvelle Autoroute 30, s.e.n.c.(NA30) successfully closed the $1.2 billion bond refinancing for Montreal highway Autoroute 30 (A-30) concession project (the A-30 Project). The bonds included approximately $828 million in long-term bonds, due 2042, priced at roughly 4.11% and approximately $390 million in medium-term bonds, due 2033, carrying a coupon of approximately 3.75%.
